1. Introduction
Welcome to 5GhTaxi.
These Terms and Conditions ("Terms") govern access to and use of the 5GhTaxi website, mobile applications, digital platforms, driver applications, rider services, fleet services, administrative systems and related services (collectively, the "Platform").
For purposes of these Terms:
- "5GhTaxi", "we", "us" or "our" means the legal entity operating the 5GhTaxi Platform.
- "Rider" means a person who requests, books, receives or uses transportation services through the Platform.
- "Driver" means an individual approved by 5GhTaxi to provide transportation services through the Platform.
- "Driver Partner" means a Driver or vehicle operator participating in the 5GhTaxi network.
- "Vehicle" means a motor vehicle approved for use in connection with the Platform.
- "Platform" means the technology, software, website, mobile application, dashboards, APIs, communication systems and related services operated or authorised by 5GhTaxi.
- "Services" means the mobility, transportation coordination, booking, driver-partner connection, fleet, payment-support, communication and related services made available through the Platform.
By creating an account, accessing the Platform, requesting a ride, registering as a Driver, accepting a ride, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms.
If you do not agree with these Terms, you must not use the Platform.
2. Nature of the 5GhTaxi Platform
5GhTaxi is a technology-enabled mobility platform.
Depending on the applicable operating model and regulatory requirements, 5GhTaxi may facilitate interactions between Riders and independent Drivers or transportation providers.
Unless expressly stated otherwise in a specific service agreement:
- 5GhTaxi does not represent that every transportation service is directly provided by 5GhTaxi itself.
- Drivers may operate as independent service providers and may be responsible for complying with applicable licensing, vehicle, insurance, safety, tax and transportation requirements.
- Nothing in these Terms should be interpreted as creating an employment relationship between 5GhTaxi and a Driver merely because the Driver uses the Platform.
3. Eligibility
To use 5GhTaxi, you must:
- provide accurate information;
- be legally capable of entering into a binding agreement;
- provide a valid telephone number where required;
- maintain accurate account information;
- comply with applicable Ghanaian laws;
- comply with applicable transportation requirements; and
- not use the Platform for unlawful purposes.
5GhTaxi may refuse, suspend or terminate access where reasonably necessary to protect Riders, Drivers, the Platform or the public.
4. Rider Accounts
A Rider may be required to create an account before requesting certain services.
You are responsible for:
- protecting your login credentials;
- maintaining the confidentiality of your account;
- ensuring information supplied to 5GhTaxi is accurate;
- notifying 5GhTaxi of unauthorised account activity; and
- ensuring that your account is not transferred to another person.
You must not create an account using another person's identity or information without lawful authority.
5GhTaxi may require verification of identity, telephone number, payment information or other information before permitting access to particular services.
5. Driver Registration
Drivers must complete the applicable registration and verification process.
Depending on the service and applicable regulatory requirements, 5GhTaxi may request:
- Ghana Card/NIA information;
- driver's licence;
- vehicle registration information;
- roadworthiness information;
- insurance information;
- commercial transportation documentation;
- driver's photograph;
- telephone number;
- bank or mobile-money information;
- emergency contact information; and
- background or eligibility information where lawful.
Drivers must provide truthful information.
Submission of information does not automatically constitute approval.
5GhTaxi may verify submitted information and may reject or suspend an application where information is incomplete, inaccurate, fraudulent, expired or otherwise unacceptable.
The Platform should not be represented as replacing any statutory licence, permit, registration, insurance or approval required by Ghanaian law. The Driver and Vehicle Licensing Authority (DVLA) continues to regulate driver and vehicle licensing matters applicable to commercial transport.
6. Driver Responsibilities
A Driver agrees to:
- maintain all legally required licences and permits;
- maintain an appropriately registered and roadworthy vehicle;
- maintain legally required insurance;
- operate safely and responsibly;
- treat Riders respectfully;
- not discriminate unlawfully;
- not engage in harassment, threats, violence or intimidation;
- not drive under the influence of alcohol or drugs;
- not knowingly falsify trip information;
- not manipulate fares, GPS information or Platform records;
- not share Rider information unlawfully;
- not misuse Rider contact information;
- not request inappropriate payments;
- not use the Platform for criminal activity; and
- follow applicable road traffic laws.
7. Rider Responsibilities
Riders must:
- provide accurate pickup and destination information;
- behave respectfully;
- comply with reasonable safety instructions;
- not damage vehicles;
- not threaten or assault Drivers;
- not use the Platform for unlawful activity;
- not carry prohibited items;
- not attempt to manipulate the booking system; and
- not interfere with the Driver's ability to operate safely.
A Rider may be refused service where necessary for safety, legal or operational reasons.
8. Ride Requests
A Rider may request a ride through the Platform.
A request does not necessarily guarantee immediate availability.
Ride availability may depend on:
- location;
- Driver availability;
- traffic;
- weather;
- operational conditions;
- technical availability;
- regulatory restrictions; and
- demand.
Once a Driver accepts a request, relevant trip information may be shared with the Driver for the purpose of completing the trip.
9. Fare Structure
The applicable fare or pricing structure will be displayed or otherwise communicated to the Rider where practicable.
The Fare for a trip is set by the Platform's fare calculation at the time of booking and is paid by the Rider directly to the Driver Partner — 5GhTaxi does not collect, hold, or take any part of the Fare itself.
Separately, 5GhTaxi charges Driver Partners a flat platform fee of GHS 5 per completed trip, in place of a percentage-based commission on the Fare. This flat GHS 5 amount is fixed regardless of the Fare's size, and is the only amount owed to 5GhTaxi in connection with a trip; it is tracked in the Driver Cockpit and remittance ledger within the app, and is invoiced to the Driver Partner, not to the Rider.
5GhTaxi may modify the platform fee, promotional pricing or other charges by providing appropriate notice. Nothing in these Terms guarantees that the flat platform fee or a particular fare will remain unchanged indefinitely.
10. Payments
Rider Payments
Riders may pay the Driver Partner directly for a completed trip through:
- cash, paid directly to the Driver Partner;
- mobile money, sent directly to the Driver Partner;
- cards or other electronic payment services, where made available by 5GhTaxi; or
- other payment methods made available by 5GhTaxi.
As set out in Section 9, 5GhTaxi does not itself collect or hold the Fare, does not charge Riders before a trip is completed, and does not require advance payment, a deposit, or a pre-loaded wallet balance to request a ride.
Driver Partner Remittance
Because the flat GHS 5 platform fee is settled after the trip rather than deducted automatically from each fare, Driver Partners remit what they owe to 5GhTaxi on the following schedule:
- the flat GHS 5 platform fee accrues, per completed trip, to the Driver Partner's remittance balance, shown in the app as the "Remittance Float";
- all platform fees accrued in a day are due to 5GhTaxi by 08:00 the following day ("the remittance cutoff");
- a Driver Partner completing trips during their first 24-hour free trial owes no platform fee for those trips, and keeps 100% of the Fares paid by Riders during that trial; that trial period's remittance cutoff is anchored to 08:00 on the day after the trial itself ends, so every trial trip shares one due date;
- remittance is settled by the Driver Partner sending the amount owed via Mobile Money and reporting the payment (amount and MoMo reference) in the app; 5GhTaxi checks the report against its own MoMo records and confirms it before the Driver Partner's remittance balance is updated — there is no automatic, instant merchant-API deduction; and
- if a Driver Partner's outstanding remittance balance exceeds a GHS 20 overdraft limit at any point, it becomes due immediately, without waiting for the next 08:00 cutoff.
Third-party payment providers may impose their own terms.
5GhTaxi is not responsible for failures caused exclusively by a payment provider, telecommunications provider, bank or financial institution.
11. Cancellation
A Rider may cancel a request subject to the applicable cancellation rules.
A Driver may cancel a request where:
- the Rider does not appear;
- the pickup location is inaccessible;
- the Rider presents a safety concern;
- the vehicle develops a legitimate operational problem;
- the trip cannot lawfully be completed; or
- another reasonable circumstance prevents completion.
Repeated abusive cancellation or cancellation manipulation may result in account restrictions.
12. Safety
Safety is a fundamental principle of 5GhTaxi.
Users should report:
- accidents;
- threats;
- assault;
- harassment;
- suspected criminal activity;
- unsafe driving;
- vehicle safety concerns; and
- fraudulent activity.
5GhTaxi may cooperate with lawful requests from police, courts, regulators or other authorised governmental bodies.
13. Prohibited Activities
Users must not use 5GhTaxi to:
- commit crimes;
- facilitate fraud;
- impersonate another person;
- manipulate Platform systems;
- interfere with Platform security;
- introduce malware;
- harvest user information;
- reverse engineer unauthorised portions of the Platform;
- scrape protected information;
- circumvent account restrictions;
- falsify trip records;
- create fraudulent accounts;
- manipulate GPS or location information;
- use another person's Driver credentials;
- solicit Riders outside the Platform in breach of an applicable contractual restriction; or
- circumvent 5GhTaxi's commercial arrangements.
14. Platform Intellectual Property
All intellectual property associated with 5GhTaxi, including:
- trademarks; logos; software; designs; graphics; interfaces; databases; source code; algorithms; documentation; branding; and content;
belongs to 5GhTaxi or its licensors unless expressly stated otherwise.
No user receives ownership of 5GhTaxi intellectual property merely by using the Platform.
15. User Content
Where users submit photographs, reviews, comments, documents or other content, they confirm that they have the necessary rights to provide that content.
Users grant 5GhTaxi a non-exclusive, worldwide, royalty-free licence to use such content solely as reasonably necessary to operate, improve, secure and promote the Platform, subject to applicable privacy law and the Privacy Policy.
16. Reviews and Ratings
Riders and Drivers may be permitted to rate each other.
Ratings must be truthful and must not be used to:
- threaten another person;
- discriminate unlawfully;
- extort another person;
- publish private information; or
- make knowingly false accusations.
5GhTaxi may remove content that violates Platform rules.
17. Third-Party Services
5GhTaxi may integrate with third-party services including:
- payment processors;
- mapping providers;
- telecommunications providers;
- identity verification services;
- analytics services;
- cloud infrastructure; and
- messaging providers.
Third-party services may have separate terms and privacy policies.
18. Suspension and Termination
5GhTaxi may suspend or terminate an account where reasonably necessary because of:
- fraud;
- safety concerns;
- serious misconduct;
- unlawful activity;
- repeated violations;
- false information;
- payment abuse;
- platform manipulation; or
- breach of these Terms.
Where reasonably practicable, users may be informed of the reason for a suspension or termination.
19. Limitation of Liability
To the maximum extent permitted by applicable law, 5GhTaxi shall not be liable for losses arising solely from:
- events outside its reasonable control;
- telecommunications failures;
- GPS inaccuracies;
- third-party payment failures;
- traffic conditions;
- weather;
- road closures;
- government restrictions;
- acts or omissions of independent Drivers;
- acts or omissions of Riders; or
- unauthorised use of an account caused by the user's failure to protect credentials.
20. No Guarantee of Continuous Availability
5GhTaxi does not guarantee that the Platform will always be:
- available;
- uninterrupted;
- error-free;
- free from technical defects; or
- available in every location.
Maintenance, upgrades, outages and emergencies may temporarily affect availability.
21. Indemnification
To the extent permitted by law, a user agrees to indemnify and hold harmless 5GhTaxi, its directors, officers, employees, contractors and authorised representatives from claims, losses, liabilities and reasonable costs arising from:
- the user's unlawful conduct;
- breach of these Terms;
- fraud;
- misuse of the Platform;
- infringement of another person's intellectual-property rights; or
- damage caused by the user's intentional misconduct or negligence.
22. Dispute Resolution
The parties shall first attempt to resolve disputes through good-faith negotiation.
Where a dispute cannot be resolved through negotiation, the parties may refer the dispute to mediation or arbitration in accordance with Ghana's applicable alternative dispute-resolution framework. Ghana's Alternative Dispute Resolution Act, 2010 (Act 798) expressly recognises written arbitration agreements and provides procedures for arbitration.
Nothing in this clause prevents a party from seeking urgent interim or protective relief from a court where such relief is legally available.
23. Governing Law
These Terms shall be governed by the laws of the Republic of Ghana, subject to any mandatory legal rights that cannot lawfully be excluded.
24. Changes to These Terms
5GhTaxi may update these Terms from time to time.
Material changes should be communicated through reasonable means.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
25. Electronic Acceptance
A user may accept these Terms electronically by:
- clicking "I Agree";
- creating an account after being presented with the Terms;
- completing a registration process containing an acceptance mechanism; or
- using the Platform where legally sufficient notice and acceptance have been provided.
Ghana's Electronic Transactions Act recognises electronic records and electronic transactions, subject to its requirements and applicable law.
